Makeup Kit Purchase - TERMS AND CONDITIONS

The terms and conditions set henceforth (“Conditions”) govern the sale of products (“Products”) and the provision of services (“Services”) by Make Up Portals Ltd. (“Seller”). Buyer’s acceptance of delivery of the Products and/or Services from Seller shall be deemed to constitute acceptance of these Conditions. These Conditions take precedence over any Buyer’s terms and conditions in event of conflict between the Conditions and Buyer’s terms and conditions. Acceptance by buyer is limited to these terms and conditions and neither Seller’s commencement of performance nor delivery shall be deemed as acceptance of any Buyer’s other terms and conditions. Buyer’s acceptance of delivery of the Products and/or services from Seller shall be deemed to constitute acceptance of these Conditions only.

1. Orders: All orders placed by Buyer are subject to written acceptance by Seller, or confirmation by e-mail. Orders may be canceled only in accordance with the Israeli Consumer Protection Law of 1981. Buyer is responsible for the accuracy of its order and any Buyer’s specification and for supplying Seller with any relevant information within sufficient time to enable Seller to perform the contract for delivery of Products/Services. Seller reserves the right to make changes to the specifications of any Product and/or Services supplied which are required to conform with any applicable safety, statutory, or other requirements under Israeli Laws, or where Product is to be supplied to Buyer’s specifications’ which do not materially effect the quality or performance, or resulting from any change in manufacturer’s product specification.

2. Prices: Orders shall be subject to Seller's price list, as in effect at the time the Order was placed. To review current price list, please click here.

3. Delivery: 30 days, as of the day of receipt of the confirmation for the acceptance of the Order by Seller.

4. Warranty and Limitation of Liability: (i) Seller warrants to Buyer that on delivery Products will conform to the applicable Product specifications issued by the manufacturer of the relevant Products. (ii) Seller’s exclusive obligation with respect to any non-conforming Products or Services shall be, at Seller’s option, to repair or replace the Product, if it is determined to be defective, or to re-perform the Service, or to refund the Buyer the price paid for the relevant Products or Services. (iii) THE FORGOING WARRANTIES ARE THE SOLE WARRANTIES, GIVEN BY SELLER IN CONECTION WITH THE PRODUCTS AND SERVICES, AND SELLER DISCLAIMS AND EXCLUDES (TO THE FULLEST EXTENT PERMITTED BY LAW) ALL OTHER WARRANTIES AND CONDITIONS (WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR OTHERWISE) INCLUDING, BUT NOT LIMITED TO THOSE RELATING TO QUALITY, MERCHANTABILITY, FITNESS FOR A PERTICULAR PERPOSE, NON INFRIGEMENT OF THIRD PARTY RIGHTS AND LATENT DEFECTS. (iv) This warranty shall not apply to any Products that have been subject to misuse, improper testing, maintenance, assembly, mishandling, or which has been operated contrary to current instructions provided by the manufacturer of the Product. (v) SELLERS ENTIRE LIABILITY UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE PRICE OF THE PRODUCTS AND/OR SERVICES FORMING THE SUBJECT OF THE BUYERS CLAIM. (vi) If the Buyer wishes to claim under the forgoing warranties the Buyer must notify the Seller within fourteen (14) days of discovery of any defect and in any event no longer than 60 days of the delivery of the relevant Products, otherwise Buyer waives all rights and Seller shall have no liability for any alleged defect. (vii) The above warranties are not assignable. (iix) Any technical assistance or advice offered by Seller or Seller’s employs regarding use of any Product or Service provided in connection with Buyers purchase is given without any warranty, expressed or implied and Seller shall not be held liable for the content or use of by Buyer of any such information.

5. Choice of Law: The State of Israel

Force Majeure: Seller shall not be in default by any reason of any failure or delay in the performance of any obligation under these Conditions where such failure or delay arises out of any cause beyond the reasonable control and without the fault of Seller. Such causes shall include, without limitation, storms, floods, other acts of nature, fires, explosions, riots, war or civil disturbance, strikes or other labor unrest, embargoes and other governmental actions or regulations that would prohibit either party from ordering or furnishing the Products or from performing any other aspects of the obligations hereunder, delays in transportation, and liability to obtain necessary labor, supplies or manufacturing facilities.

7. Entire Agreement: These Conditions together with details in Seller’s invoice for the relevant Products/Services shall constitute the entire agreement between Seller and Buyer, and my not be rescinded or terminated by Buyer unless provided herein. The provisions of the entire agreement supercede all prior oral and written quotations, agreements and understandings of the parties with respect to subject matter thereof. If any provision of these Conditions is held to be invalid or unenforceable by any court having complete jurisdiction, this shall be treated as severable, and it shall not effect the validity and enforceability of the remaining Conditions.

You will be charged for the Monthly Fee for each calendar month in advance. You may terminate your membership at any time, upon notice to MUP, and MUP will not charge the Monthly fee from you on the following month. You will remain a member until the end of the calendar month in which you provided MUP with a notice for the termination of your membership.

During the first two calendar month of your membership, you may terminate your membership with a full refund of the Monthly Fee you paid MUP for such membership period.
